1. Introduction

Welcome to Infrascan. These Terms of Use ("Terms") govern your access to and use of Infrascan's services, website, and technology. By engaging with our services, you ("Client" or "you") agree to be bound by these Terms.

Please read these Terms carefully before using our inspection services. If you do not agree with these Terms, you should not use our services.

These Terms constitute a legally binding agreement between you and Infrascan. We reserve the right to update or modify these Terms at any time, and such changes will become effective immediately upon posting.

2. Definitions

For the purposes of these Terms:

  • "Services" refers to all inspection services provided by Infrascan, including drone-based deployment, ultrasonic testing (UT) crawler inspections, data analysis, and reporting.
  • "Equipment" refers to Infrascan's proprietary drone systems, UT crawlers, sensors, and related inspection technology.
  • "Inspection Site" refers to the physical location where inspection services are to be performed.
  • "Inspection Report" refers to the documentation, data, and analysis provided upon completion of inspection services.
  • "Proprietary Technology" refers to Infrascan's patented and proprietary systems, including but not limited to drone technology, UT crawlers, roller-sensors, and related intellectual property.

3. Service Description

Infrascan provides advanced pipeline inspection services utilizing proprietary drone technology and ultrasonic testing (UT) crawlers. Our services include:

  • Drone-based deployment and positioning for pipeline inspection
  • 360-degree continuous ultrasonic testing using patented roller-sensor technology
  • Inspection of highly elevated pipes (up to 50m), elevated pipes, and reachable pipes
  • Access to tight areas, bends, and difficult-to-reach locations
  • Data collection, analysis, and comprehensive reporting
  • Consultation services related to pipeline integrity and maintenance

All inspections are conducted by trained and certified professionals who follow the highest safety, quality, and operational standards in accordance with international and local industry regulations. Our technology is protected by a portfolio of 60+ patents.

Services are tailored to meet specific client requirements and are subject to technical feasibility, site conditions, and safety considerations.

4. Client Responsibilities

By engaging with our services, you agree to:

  • Provide accurate, complete, and timely information regarding inspection requirements, site conditions, and pipeline specifications
  • Ensure safe and appropriate access to inspection sites, including necessary permits, clearances, and authorizations
  • Comply with all applicable local, national, and international laws and regulations
  • Maintain confidentiality of Infrascan's proprietary technology, methodologies, and trade secrets
  • Provide adequate safety briefings and site-specific hazard information prior to service delivery
  • Ensure that inspection sites meet minimum safety requirements for drone operation and personnel access
  • Notify Infrascan of any changes to site conditions, scheduling, or project requirements in a timely manner
  • Designate a qualified representative to coordinate with Infrascan personnel during inspection activities

5. Intellectual Property Rights

Infrascan retains all rights, title, and interest in and to our proprietary technology, including but not limited to:

  • All patents, trademarks, copyrights, and trade secrets related to our drone systems and UT crawler technology
  • Software, algorithms, and data processing methodologies
  • Training materials, technical documentation, and proprietary processes
  • All improvements, modifications, and derivatives of our technology

Clients receive a limited, non-exclusive, non-transferable license to use inspection reports and data solely for the intended purpose of pipeline integrity management. Clients may not reverse engineer, reproduce, or attempt to replicate Infrascan's proprietary technology.

The Infrascan name, logo, and branding are protected trademarks and may not be used without prior written consent.

6. Service Agreements and Scheduling

Specific terms of service, including scope, deliverables, timelines, and pricing, will be outlined in individual service agreements or statements of work.

Scheduling of inspection services is subject to:

  • Equipment availability and crew scheduling
  • Weather conditions and environmental factors suitable for drone operation
  • Site readiness and safety compliance
  • Receipt of required permits and authorizations

Infrascan reserves the right to reschedule or postpone services if conditions are deemed unsafe or unsuitable for inspection activities. Clients will be notified promptly of any changes, and alternative dates will be proposed.

7. Safety and Compliance

Safety is paramount in all Infrascan operations. We are committed to:

  • Conducting all operations in accordance with international aviation regulations and local drone operation requirements
  • Maintaining comprehensive insurance coverage for all equipment and personnel
  • Providing certified and trained personnel who adhere to the highest safety standards
  • Conducting thorough risk assessments before commencing any inspection activity
  • Following all client-specific safety protocols and site requirements

Clients are responsible for ensuring that inspection sites comply with applicable safety regulations and that all necessary safety measures are in place. Infrascan personnel reserve the right to suspend or terminate operations if unsafe conditions are identified.

8. Inspection Reports and Data

Upon completion of inspection services, Infrascan will provide comprehensive inspection reports containing:

  • Detailed analysis of pipeline condition and integrity
  • Ultrasonic testing data and measurements
  • Visual documentation and imagery
  • Recommendations for maintenance or further investigation where applicable

Reports are prepared in accordance with industry standards and best practices. However, Infrascan does not guarantee the accuracy of third-party data or information provided by the client.

Clients are solely responsible for decisions made based on inspection reports. Infrascan's reports are advisory in nature and do not replace professional engineering judgment or regulatory compliance requirements.

Data collected during inspections remains the property of the client, subject to Infrascan's right to retain anonymized data for quality improvement, research, and development purposes.

9. Limitation of Liability

To the maximum extent permitted by applicable law:

  • Infrascan's total liability for any claims arising from or related to our services shall not exceed the total amount paid by the client for the specific services giving rise to the claim
  • Infrascan shall not be liable for any indirect, incidental, consequential, special, or punitive damages, including but not limited to loss of profits, business interruption, or loss of data
  • Infrascan shall not be liable for any damages resulting from client's failure to follow recommendations, misuse of inspection reports, or decisions made based on inspection data
  • Infrascan shall not be liable for damages caused by force majeure events, third-party actions, or conditions beyond our reasonable control

These limitations apply regardless of the legal theory upon which any claim is based, whether in contract, tort, negligence, strict liability, or otherwise.

10. Confidentiality

Both parties agree to maintain the confidentiality of proprietary information disclosed during the course of service delivery. This includes:

  • Technical specifications, operational data, and inspection findings
  • Business strategies, pricing information, and commercial arrangements
  • Proprietary technology, methodologies, and processes

Confidential information may be disclosed only to authorized personnel with a legitimate need to know and must be protected using reasonable security measures.

This confidentiality obligation survives the termination of any service agreement and continues indefinitely, except for information that: (a) becomes publicly available through no breach of this agreement, (b) is independently developed, (c) is rightfully received from a third party, or (d) is required to be disclosed by law or regulation.

11. Payment Terms

Payment terms will be specified in individual service agreements. Unless otherwise stated:

  • Invoices are payable within 30 days of the invoice date
  • Late payments may be subject to interest charges at the rate of 1.5% per month or the maximum rate permitted by law, whichever is lower
  • Clients are responsible for all costs of collection, including reasonable attorney fees, in the event of non-payment
  • Services may be suspended or terminated if payment obligations are not met

All fees are exclusive of applicable taxes, which will be added to invoices as required by law.

12. Termination

Either party may terminate a service agreement with written notice if:

  • The other party materially breaches these Terms and fails to cure such breach within 30 days of written notice
  • The other party becomes insolvent, files for bankruptcy, or ceases business operations
  • Continuation of services becomes impossible or impractical due to circumstances beyond reasonable control

Upon termination, the client shall pay for all services rendered up to the termination date. Provisions related to intellectual property, confidentiality, limitation of liability, and dispute resolution shall survive termination.

13. Force Majeure

Neither party shall be liable for failure to perform obligations due to circumstances beyond reasonable control, including but not limited to acts of God, war, terrorism, natural disasters, government actions, labor disputes, or epidemics.

The affected party shall promptly notify the other party and make reasonable efforts to resume performance as soon as practicable.

14. Amendments and Modifications

Infrascan reserves the right to update or modify these Terms at any time. Changes will be effective immediately upon posting to our website or notification to clients.

Continued use of our services following any changes constitutes acceptance of the modified Terms. We encourage you to review these Terms periodically.

Individual service agreements may be amended only through written agreement signed by authorized representatives of both parties.

15. Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the jurisdiction in which Infrascan operates, without regard to conflict of law principles.

Any disputes arising from or related to these Terms or our services shall first be attempted to be resolved through good faith negotiation. If negotiation fails, disputes shall be resolved through arbitration in accordance with the rules of the relevant arbitration authority in the applicable jurisdiction.

The parties agree to submit to the exclusive jurisdiction of the courts in the applicable jurisdiction for any matters that cannot be resolved through arbitration.

16. Severability

If any provision of these Terms is found to be invalid, illegal, or unenforceable, the remaining provisions shall continue in full force and effect. The invalid provision shall be modified to the minimum extent necessary to make it valid and enforceable while preserving its original intent.
